PakTaleem TERMS OF SERVICE

These Terms of Service ("Terms") govern the relationship between PakTaleem and its clients. By accessing or using PakTaleem's Services, the client agrees to be bound by these Terms.

DEFINITIONS

For the purposes of these Terms of Service, the following terms shall have the meanings assigned to them below:

  • PakTaleem refers to the platform, its owners, directors, employees, contractors, and affiliates responsible for providing the Services described in these Terms.
  • Client refers to any individual, organisation, institution, or business entity that has registered an account with PakTaleem, subscribed to any of its plans, or entered into a service agreement with PakTaleem. Where the client is an organisation, this term includes any authorised representative acting on its behalf.
  • End Users refers to any individuals who access or use the platform through the client's account, including but not limited to students, learners, employees, instructors, or any other persons granted access by the client. The client is fully responsible for the actions and conduct of all end users operating under the client's account.
  • Services refers to all products, features, tools, and offerings provided by PakTaleem, including but not limited to the SaaS platform, managed services, integrations, and support, as further described in these Terms.
  • Terms refers to these Terms of Service, including any amendments, updates, or modifications made from time to time.

1. DESCRIPTION OF SERVICES

PakTaleem provides a closed source Software-as-a-Service (SaaS) based Learning Management System (LMS) that enables organisations, institutions, and individuals to create, manage, host, and deliver online learning. Under this model, PakTaleem hosts and maintains the LMS infrastructure, while clients access the platform via the internet without needing to install or manage any underlying software or servers.

PakTaleem's Services include, but are not limited to:

  • Provision of a cloud-hosted LMS environment
  • Course creation, management, and delivery tools
  • User management, roles, and access control
  • Assessment, grading, and reporting features
  • Content hosting and storage (subject to plan limits)
  • System maintenance, updates, and performance monitoring

Depending on the client's selected plan, Services may include limitations on storage, number of users, features, and customisation capabilities. PakTaleem may also:

  • Offer trial access or subscription-based plans from time to time
  • Provide optional integrations with third-party tools and services with additional charges
  • Update, enhance, or modify features to improve performance and user experience

PakTaleem is responsible for maintaining the availability and functionality of the platform. However, access to the Services requires a stable internet connection and compatible device, which remain the client's and end user's responsibility.

3. USER RESPONSIBILITIES AND CONDUCT

The client agrees to:

  • Use the Services only for lawful purposes
  • Ensure all content complies with applicable laws
  • Respect intellectual property and privacy rights
  • Prevent unauthorised access to the client's account

Clients are responsible for:

  • Actions of all end users under the client's account
  • Obtaining required permissions and consents
  • Ensuring compliance with applicable regulations

4. FEES, BILLING AND PAYMENTS

4.1 Service Engagement Models

PakTaleem offers services under two primary engagement models. The invoicing and billing structures outlined in this section apply to both models, with the applicable method determined by the nature and scope of the engagement agreed upon at the time of onboarding.

Model 1 — SaaS Platform Access

  • PakTaleem provides the client with access to its cloud-based, fully hosted SaaS platform.
  • The client retains full responsibility for the operation, configuration, and management of the client's own site.
  • The client may independently engage an administrator or internal team to manage the platform.
  • PakTaleem's role under this model is limited to providing, maintaining, and supporting the platform infrastructure.

Model 2 — Managed Services

  • The client may engage PakTaleem to fully manage and operate the client's platform on the client's behalf.
  • Under this model, the PakTaleem team assumes responsibility for the administration, support, and day-to-day management of the client's site.
  • The scope of managed services is defined in the applicable Statement of Work (SOW) or service agreement signed prior to commencement.

For all engagements, billing cycles, pricing details, and applicable charges are clearly outlined on PakTaleem's website or within the platform prior to purchase. Where a formal project agreement or SOW is in place, the terms specified therein shall govern the invoicing arrangement.

4.2 Feature Availability and Licensing

PakTaleem may introduce new features, tools, or enhancements from time to time. Such features may be:

  • Included at no additional cost under the client's existing subscription plan, or
  • Offered as paid add-ons requiring a separate licence or upgrade

Where a feature requires a licence or additional payment, access will only be granted upon successful purchase or activation of the relevant plan or licence.

4.3 Invoicing Cycles

PakTaleem bills clients under one of two invoicing cycles. The applicable cycle is determined by the billing frequency selected by the client at the time of onboarding.

Cycle 1 — Monthly Billing

  • Clients on a monthly billing cycle receive one invoice per month.
  • The invoice is issued on the 23rd of each month and covers services for the entire following month.
  • Payment is due by the 1st of the following month, giving the client 7 working days to complete payment.
  • Example: Invoice issued on 23rd May → covers June → due by 1st June.

Cycle 2 — Bi-Weekly Billing

Clients on a bi-weekly billing cycle receive two invoices per month, each covering a separate two-week billing period.

First Invoice
  • Issued on the 15th of each month.
  • Covers services from the 16th to the last day of that month.
  • Payment is due by the 23rd of the same month (within 7 working days).
  • Example: Invoice issued on 15th May → covers 16th–31st May → due by 23rd May.
Second Invoice
  • Issued on the 23rd of each month.
  • Covers services from the 1st to the 15th of the following month.
  • Payment is due by the 1st of the following month (within 7 working days).
  • Example: Invoice issued on 23rd May → covers 1st–15th June → due by 1st June.

4.3.1 Invoice Delivery

  • All invoices are delivered electronically via email in PDF format to the designated billing contact registered at the time of onboarding.
  • The client is required to raise any invoice disputes within 7 working days of the invoice date.
  • Disputes raised after this period may not be considered.

4.3.2 Late Payment Penalty

  • Payment must be made by the due date to ensure uninterrupted access to PakTaleem's Services.
  • A late payment penalty of $5 per day will be charged for every day the payment remains outstanding beyond the due date.
  • This penalty is calculated from the first day after the due date and added to the client's next invoice.

4.4 Renewals

Subscriptions under PakTaleem automatically renew at the end of each billing cycle unless a cancellation request is submitted prior to the renewal date. The following terms apply:

  • Monthly subscriptions renew on the 1st of each month. To avoid renewal charges, cancellation must be requested before the invoice is issued on the 23rd of the preceding month.
  • Bi-weekly subscriptions renew on the 1st and 23rd of each month respectively. To avoid renewal charges, cancellation must be requested before the corresponding invoice issuance date — the 15th for the first cycle and the 23rd for the second cycle.
  • It is the client's sole responsibility to submit a cancellation request in advance of the applicable invoice date.
  • Renewal charges that have already been invoiced and processed will not be refunded upon late cancellation.
  • PakTaleem will endeavour to send renewal reminders alongside each invoice, however it remains the client's responsibility to manage their subscription status.

4.5 Non-Payment

Failure to make timely payments may result in:

  • Suspension or restriction of access to Services
  • Limitation of platform functionality
  • Termination or deletion of the client's account

4.6 Pricing Changes

PakTaleem reserves the right to update or modify pricing at any time. Any changes will be communicated in advance and will not affect active billing cycles unless stated otherwise.

5. CANCELLATION AND TERMINATION

5.1 By Client

The client may cancel its subscription at any time with a prior notice of 30 days. Access continues until the end of the billing cycle.

5.2 By PakTaleem

PakTaleem may suspend or terminate access if:

  • The client breaches these Terms
  • The client engages in unlawful activity
  • Payment obligations are unmet
  • Required by Pakistani law

5.3 Effects of Termination

  • Access to Services will cease
  • Data may be retained temporarily then deleted
  • The client must export the client's data before termination

6. DATA AND CONTENT

6.1 Ownership

Clients retain full ownership of the client's content and data.

6.2 Licence

Clients grant PakTaleem a limited licence to:

  • Host and store data
  • Process and transmit data
  • Use data to improve Services

6.3 Responsibility

Clients are responsible for:

  • Data accuracy and legality
  • Backup and retention of critical data
  • Compliance with data laws

7. DATA SECURITY

PakTaleem implements reasonable safeguards including:

  • Encryption and secure protocols
  • Access controls
  • Monitoring and system protections

However, PakTaleem does not guarantee absolute security.

8. THIRD-PARTY SERVICES

PakTaleem may integrate third-party tools. Clients acknowledge that:

  • Third parties operate independently
  • Their terms apply separately
  • PakTaleem is not liable for their actions

9. PROHIBITED USE

Clients must not allow any end users under the client's account to:

  • Attempt to hack, bypass security measures, or disrupt the platform or its infrastructure in any way
  • Introduce or upload viruses, malware, harmful code, or any content intended to damage or interfere with the system
  • Use the platform in any manner that violates applicable laws, regulations, or legal rights of others
  • Infringe or misappropriate any intellectual property rights, including copyrights, trademarks, or proprietary materials
  • Use PakTaleem for fraudulent, deceptive, or illegal activities of any kind
  • Resell, sublicense, distribute, or commercially exploit the Services without prior written permission from PakTaleem
  • Attempt to gain unauthorised access to other accounts, data, systems, or restricted areas of the platform
  • Interfere with, overload, or negatively impact the performance or security of the Services
  • Use automated tools (such as bots, scrapers, or crawlers) to access or extract data without permission

Any violation of this clause may result in immediate suspension or termination of the client's account, without prior notice, and may also lead to legal action where applicable.

10. INTELLECTUAL PROPERTY

All PakTaleem software, platform features, system architecture, design, and branding are the exclusive property of PakTaleem and are protected by applicable intellectual property laws.

Clients are granted a limited, non-exclusive, non-transferable right to access and use the platform for the client's own internal business or educational purposes. Clients may not copy, modify, distribute, reverse engineer, resell, or otherwise misuse any part of the platform without prior written permission from PakTaleem.

Clients retain full ownership of all content uploaded or created on the platform, including courses, materials, media, and user-generated data. By using PakTaleem, clients grant PakTaleem a limited licence to host, store, process, and display client content solely for the purpose of operating, maintaining, and improving the Services.

Clients are responsible for ensuring that client content:

  • Does not violate any laws or regulations
  • Does not infringe the intellectual property or rights of any third party

PakTaleem reserves the right to remove or restrict any content that violates these Terms or applicable laws.

11. SERVICE AVAILABILITY

PakTaleem aims to provide reliable and consistent access to the Services. However, PakTaleem does not guarantee:

  • Continuous or uninterrupted availability of the platform
  • Error-free or bug-free operation at all times
  • Compatibility with all devices, browsers, or operating systems

Access to the Services may be temporarily unavailable due to:

  • Scheduled maintenance or system upgrades
  • Technical issues or unexpected system failures
  • Third-party service disruptions (e.g., hosting, integrations)

PakTaleem will make reasonable efforts to minimise disruptions and, where possible, provide prior notice of planned maintenance. Clients acknowledge that access to the Services also depends on the client's internet connection, device, and system environment, which are outside PakTaleem's control.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, PakTaleem shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business opportunities, or goodwill
  • Loss, corruption, or unavailability of data
  • Business interruption or service downtime
  • Any failure or disruption caused by third-party services, providers, or integrations
  • Any damages arising from unauthorised access to, or alteration of, client data

PakTaleem provides the Services on an "as is" and "as available" basis. While PakTaleem takes reasonable steps to maintain performance and reliability, PakTaleem does not guarantee that the Services will be uninterrupted, error-free, or fully compatible with all client-specific requirements, systems, or workflows.

Clients acknowledge and agree that:

  • Use of the Services is at the client's own risk
  • Clients are solely responsible for maintaining backups of their data
  • Clients are responsible for ensuring the suitability of the Services for their specific needs
  • PakTaleem is not responsible for any decisions made by the client based on information or outputs generated through the Services

To the fullest extent permitted by law, PakTaleem's total aggregate liability for any claims arising out of or related to the Services shall not exceed the total amount paid by the client to PakTaleem during the twelve (12) months preceding the event giving rise to the claim.

Nothing in this clause excludes or limits liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot be excluded or limited under applicable law.

13. INDEMNITY

If PakTaleem faces any claims, losses, damages, or legal costs because of something the client did or failed to do, the client agrees to cover those costs. This includes situations where:

  • The client misuses the platform or violates these Terms
  • Any of the client's end users or anyone accessing the platform under the client's account causes harm or violates any law or third-party rights
  • Any content, data, or materials uploaded or shared through the client's account causes a legal claim
  • The client violates any applicable law, regulation, or third-party rights, including intellectual property or data privacy laws

What happens if a claim is made:

  • PakTaleem has the right to take control of the defense of any such claim
  • The client must cooperate fully with PakTaleem in handling the claim
  • The client must notify PakTaleem promptly if the client becomes aware of any claim or legal proceeding related to the client's use of the Services
  • The client must not settle any claim on PakTaleem's behalf without prior written consent from PakTaleem

This obligation remains in effect even after the client's account is terminated, suspended, or the client stops using the Services.

14. DISPUTE RESOLUTION

If any dispute, claim, or disagreement arises out of or in connection with these Terms or the use of PakTaleem's Services ("Dispute"), the following process will apply:

14.1 Notice of Dispute

The disputing party must first submit a written notice to the other party describing:

  • The nature of the dispute
  • The relevant facts and supporting details
  • The outcome or resolution being sought
  • The date on which the dispute arose

PakTaleem's designated point of contact for receiving dispute notices is listed in Section 18 of these Terms. The client must ensure the notice is sent to the correct contact before proceeding.

14.2 Good Faith Resolution

Upon receipt of a dispute notice, both parties agree to:

  • Engage in good faith discussions within 7 working days of the notice being received
  • Attempt to resolve the matter amicably within 30 days of the notice being received
  • Use reasonable efforts to avoid unnecessary escalation
  • Keep all discussions and communications related to the dispute confidential

14.3 Escalation

If the dispute cannot be resolved through informal discussions within the timeframe stated in 14.2, either party may:

  • Pursue mediation or another mutually agreed alternative dispute resolution method, or
  • Initiate formal legal proceedings in accordance with applicable law and the governing jurisdiction stated in these Terms

The costs of any mediation or alternative dispute resolution process shall be shared equally between both parties unless otherwise agreed in writing.

14.4 Continued Performance

During the dispute resolution process, both parties agree to:

  • Continue performing their respective obligations under these Terms to the extent reasonably possible
  • Not use the existence of a dispute as grounds to withhold payments that are otherwise due and payable
  • Not suspend or restrict access to the Services solely on the basis of an unresolved dispute, unless expressly permitted under these Terms

14.5 Governing Law

These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of Pakistan, unless otherwise agreed in writing between both parties.

15. FORCE MAJEURE

PakTaleem shall not be held responsible or liable for any delay, interruption, or failure to perform its obligations under these Terms if such delay or failure is caused by events beyond PakTaleem's reasonable control ("Force Majeure Events").

Force Majeure Events include, but are not limited to:

  • Natural disasters (such as floods, earthquakes, or storms)
  • War, terrorism, or civil unrest
  • Pandemics or epidemics
  • Government actions, laws, or regulatory restrictions
  • Labour strikes or industrial disputes
  • Failures of internet services, hosting providers, or utilities beyond PakTaleem's control
  • Cyberattacks, data breaches, or malicious interference by third parties
  • Power outages or failures of critical infrastructure

During a Force Majeure Event:

  • PakTaleem will notify the client as soon as reasonably practicable upon becoming aware of a Force Majeure Event that affects the Services
  • PakTaleem will use reasonable efforts to minimise disruption and resume Services as quickly as possible
  • If the Force Majeure Event continues for more than 30 consecutive days, either party may terminate the affected service agreement by providing written notice to the other party, without penalty or liability

The client's payment obligations for Services already rendered prior to the Force Majeure Event remain unaffected and continue to apply.

16. CHANGES TO TERMS

PakTaleem may update, modify, or replace these Terms from time to time at PakTaleem's sole discretion. Any changes will be posted on the platform or communicated to the client through appropriate channels. Where changes are material, PakTaleem will make reasonable efforts to notify the client in advance, providing sufficient time for the client to review the updated Terms before they take effect.

The client's continued use of PakTaleem's Services after the updated Terms take effect will be considered acceptance of the revised Terms. If the client does not agree with the updated Terms, the client must discontinue use of the Services and notify PakTaleem accordingly before the changes take effect.

17. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Pakistan. Both PakTaleem and the client agree to submit to the jurisdiction of the courts of Pakistan for the resolution of any such disputes.

Where the client is based outside of Pakistan, the client acknowledges and agrees that Pakistani law shall still govern these Terms and that any legal proceedings shall be conducted in Pakistan unless otherwise agreed in writing by both parties.
